NFT Terms and Risk Disclosure

1.What a Genesis Roses NFT is

A Genesis Roses collectible is a non-fungible token — an entry on a public blockchain that records which wallet holds it, and points to the artwork it represents.

• Network: Base, a public blockchain (chain ID 8453).
• Token standard: ERC-1155. Each of the 67 designs is its own token, and each token has a fixed maximum number of editions.
• Edition limits: the maximum supply of every design is recorded on-chain and has been frozen. No more can be added to any edition.
• Creator earnings: 0%. Deliverose takes no royalty when a collectible is resold.

The artworks are original illustrations drawn from real floral compositions made by the Deliverose studio. They are works in their own right rather than photographs of an arrangement.

2.How to check you have the real collection

Anybody can create a collection with our name on it. The way to be sure is the contract address, which cannot be copied.

The official Genesis Roses contract on Base is:

You can view it on BaseScan ↗, and the collection on OpenSea ↗. If a listing anywhere shows a different contract address, it is not this collection.

3.What is included — and what is not

Owning a Genesis Roses collectible gives you:

• the token itself, held in your wallet and recorded on Base;
• a personal, non-commercial licence to display the artwork, described in section 5 below;
• the ability to transfer or sell it wherever a marketplace supports it.

It does not give you:

• copyright or any other ownership of the underlying artwork, which stays with Deliverose;
• any right to use the Deliverose name, logo or brand;
• any share, equity, revenue, dividend, yield or other financial interest;
• any physical product, unless a specific offer made directly by Deliverose says so in writing — see the next section;
• a guarantee that any marketplace will continue to display, list or support the collectible.

4.Physical roses: where the benefit does and does not apply

This is the point most often misread, so it is worth being exact about it.

Buying a Genesis Roses NFT on OpenSea, or on any other third-party marketplace, gives you the NFT only. It does not include a physical rose, a preserved arrangement, delivery of any physical item, a voucher, or any other physical benefit — for any design in the collection, at any price.

Deliverose may, separately, offer a complimentary physical arrangement with a qualifying purchase made directly from Deliverose. Where that applies:

• it belongs to that particular purchase, not to the token;
• it does not transfer when the collectible is sold or given to somebody else, and a later owner does not inherit it;
• it cannot be created by buying the same design on a marketplace afterwards;
• it is governed by the terms published with that offer at the time.

If we introduce any future benefit or programme for holders, it will be announced with its own explicit terms. Nothing on this page should be read as a promise of one, and holding a collectible today does not entitle you to one.

5.What you may do with the artwork

While you own a collectible, you may display its image for your own personal, non-commercial use — as a profile picture, in a post about your collection, printed for your own wall. The licence is worldwide, non-exclusive and royalty-free, and it passes to the next owner when you sell.

You may not use the artwork commercially, put it on products for sale, present a modified version as a Deliverose work, use it in a way that suggests we endorse you, or use the Deliverose name or logo. The full wording is in section 9 of the Terms of Service.

6.Risks worth understanding

None of this is meant to alarm you. These are simply the properties of blockchain assets, and they are easier to live with when you know them in advance.

Transactions are usually final

Once a transfer is confirmed on Base, it generally cannot be reversed — not by us, not by a marketplace, not by the network. Sending a collectible to the wrong address normally means it is gone.

Your wallet is your responsibility

We never hold your private key, seed phrase or recovery phrase, and we will never ask for them. Anybody who has them controls your collectibles. If you lose them, access is lost permanently and nobody can restore it.

Prices move, and resale is not guaranteed

The market price of a digital collectible can rise, fall, or fall to nothing. There may be no buyer when you want one. We make no promise about value, liquidity or resale, and a collectible should not be bought as an investment.

Marketplaces and networks are run by other people

OpenSea, wallet providers and the Base network are independent third parties. They set their own fees, decide what they support, and may change, pause or stop their services. We cannot control or guarantee their availability.

Software carries technical risk

Smart contracts, wallets, marketplaces and blockchains are software, and software can contain defects or be attacked. The Genesis Roses contract has been reviewed and tested internally; it has not had an independent third-party security audit. Blockchains can also be congested, forked or disrupted, and network fees can be high at busy times.

Regulation can change

Rules for digital assets differ between countries and continue to develop. A change in the law where you live could affect your ability to hold, transfer or sell a collectible.

7.Artwork storage and metadata

Each collectible’s artwork and its descriptive metadata are published to IPFS, a distributed storage network, and the contract points to them by content address — so the reference cannot be silently pointed at different artwork.

The metadata is currently still editable by Deliverose, deliberately, during an initial review period so that a genuine mistake can be corrected. It has not been permanently frozen. If and when we freeze it, we will say so here. We also rely on IPFS providers to keep the files available, and cannot guarantee any particular provider’s uptime.

8.Taxes

You are responsible for any taxes that apply to you when you buy, hold, sell or otherwise dispose of a collectible. How digital assets are taxed varies by country and can change. We do not give tax advice, and we recommend speaking to a professional about your own situation.
